Bringing more than three decades of experience to her national practice, Evan Goldfarb counsels health care organizations on a wide array of regulatory and transactional health care issues and helps them craft strategies to address legal issues while also achieving their business objectives.

Deeply trusted by her clients, Evan advises health systems, hospitals, long-term care facilities, health plans, physician groups, and other health care industry participants in minimizing risk and smoothly navigating the challenges posed by a complex business and regulatory landscape. She also assists them in planning, negotiating, and closing transactions, including mergers and acquisitions, contractual and equity joint ventures, physician employment agreements, and hospital-based physician independent contractor agreements.

Evan works to ensure that her clients stay compliant with the complex maze of state and federal laws that govern their transactions, their relationships with physicians, their billing activities and other daily operations. These include the Stark and Antikickback Laws, HIPAA, Medicare/Medicaid reimbursement, and licensure laws. She also advises clients on potentially high-stakes exposures related to physician compensation and Medicare billing by directing them in self-disclosures and responding to whistleblower-initiated government investigations.

Taking a practical, responsive and detail-oriented approach, Evan provides succinct and actionable counsel that’s precisely tailored to client needs and takes into consideration the budgetary challenges and other pressures clients face. While always working in tandem with clients, she draws on her extensive experience and deep knowledge in advising them on how to pursue opportunities, manage risk, and make the best decisions to advance their interests.

experience

  • Served as lead outside counsel to large nonprofit health systems in its acquisition of 22 traditional and specialty retail pharmacies. Participated in negotiation of transaction documents required to implement the transaction, oversight of due diligence and advice on various business and compliance matters related to the transition of the pharmacy businesses to the health system.
  • Served as lead outside counsel to large nonprofit health system in sale of its outreach laboratory business to national laboratory provider. Participated in negotiation of all transaction documents required to implement the transaction, oversight of due diligence and advice on various business and compliance matters related to the sale of the lab business.
  • Served as lead outside counsel to regional acute care not-for-profit hospital and its affiliates in connection with the development of a joint venture involving the joint ownership and operation of an inpatient rehabilitation hospital located in Illinois. Participated in preparation and negotiation of various transaction documents, coordination of regulatory approvals and analysis of tax ramifications.
  • Serve as lead outside counsel to provider-sponsored health plan owned by large nonprofit health system in the Southwest in connection with a variety of health care regulatory and transaction matters including assisting the plans with analyzing strategic arrangements and programs under federal and state regulations and advising the plans on structuring those arrangements and programs consistent with applicable laws, restructuring the provision of behavioral health management services for its Medicaid and commercial lines of business and assisting with compliance review of various network provider arrangements.
  • Serve as lead outside counsel to a specialty pediatric rehabilitation hospital’s management team and Board of Directors and advise regularly on a wide range of regulatory compliance, medical staff, employment and Board governance matters.
  • Serve as outside counsel to a joint venture software company established to transform the digital future of healthcare through its application platform, software development kit and marketplace. Representation of the company has included preparation of transaction documents in connection with formation and implementation of the company’s business model and advice regarding software contracting, intellectual property and employment matters.
